1. Agreement
These Terms of Service ("Terms") form a binding agreement between you and Plugsky FZ-LLC (DIFC, Dubai, UAE) ("Plugsky", "we", "us"). By creating an account, using the API, or clicking "I agree", you accept these Terms, our Privacy Policy, and (for paid plans) the applicable order form or Data Processing Addendum.
If you are entering into this agreement on behalf of a company, you represent that you have authority to bind that company, in which case "you" refers to that company.
If you do not agree, do not use the service.
2. Your account
- You must be at least 16 years old (or older where local law requires).
- Provide accurate registration information and keep it updated.
- Maintain the security of your password and API keys. You are responsible for all activity under your account.
- Notify us immediately at security@plugsky.com if you suspect unauthorized access.
- Use two-factor authentication for any account with admin or billing privileges.
3. Plans & billing
3.1 Free tier
The Free plan includes $5 of one-time usage credit. No payment method required. We may throttle, rate-limit, or pause Free accounts that exceed fair-use thresholds.
3.2 Paid plans
Paid plans are billed monthly in advance via Stripe (or annually with ~20% discount). Each plan includes a monthly usage credit; usage beyond the credit is billed at the per-token rates listed on the Pricing page.
3.3 Soft & hard caps
We will warn you ("soft cap") as you approach your plan's included usage. If you exceed the configured limit ("hard cap"), we may pause requests or auto-downgrade to a cheaper model until the next billing cycle or until you raise the cap. No surprise bills.
3.4 Overage
Overage is metered per request and billed in arrears at the end of the billing cycle at the per-token rates.
3.5 Taxes
Prices are exclusive of VAT, GST, and any other applicable taxes, which you are responsible for paying.
3.6 Plan changes
You can upgrade or downgrade at any time. Upgrades take effect immediately and are prorated for the current cycle. Downgrades take effect at the start of the next cycle, and any remaining credit carries over for 30 days.
3.7 Refunds
Monthly fees are non-refundable except where required by law (e.g., EU consumer cooling-off period of 14 days for first-time subscribers, or under our goodwill policy). Unused usage credit does not refund as cash.
3.8 Late payment & collection
Invoices unpaid after 30 days may incur a 1.5% monthly service charge and may result in suspension after 60 days.
4. Acceptable use
You agree not to use Plugsky to:
- Generate content that is illegal, harmful, or that infringes intellectual property rights.
- Create CSAM, content that sexualizes minors, or exploitative material of any kind. Zero tolerance.
- Generate spam, mass marketing, or unsolicited bulk communications.
- Conduct fraud, phishing, or social engineering.
- Bypass rate limits, attempt to extract training data, jailbreak models, or perform prompt-injection attacks against other customers.
- Reverse-engineer, decompile, or attempt to extract source code from the service.
- Resell or sublicense the service except as expressly permitted by an Enterprise agreement.
- Generate content that targets, threatens, or harasses individuals based on protected characteristics.
- Process personal data in violation of applicable law (GDPR, CCPA, PDPL, etc.) without a lawful basis.
- Generate content that facilitates weapons of mass destruction, violence, or self-harm.
We may use automated classifiers to detect violations. We may suspend or terminate accounts that violate this section, with or without prior notice depending on severity.
5. Your content
You own your content. Prompts, completions, uploaded documents, RAG data, agent definitions, and any other content you submit to the service remain yours.
You grant us a limited, worldwide, non-exclusive license to host, transmit, process, and route your content solely to operate the service for you. This license terminates when you delete the content or close your account.
You represent that you have all rights necessary to submit the content and that doing so does not violate any law or third-party right.
You can export and delete your content at any time via the dashboard, the API, or by emailing privacy@plugsky.com.
6. Our intellectual property
We retain all rights, title, and interest in and to the service itself — the software, the API, the dashboard, our trademarks, our model routing logic, our pricing, and our documentation. Nothing in these Terms transfers ownership of our IP to you.
You may not copy, modify, distribute, sell, or create derivative works of the service except as expressly permitted.
Feedback you provide may be used by us freely, without obligation of confidentiality or compensation.
7. Third-party models
Plugsky routes your requests to underlying model providers (opencode.ai, NVIDIA NIM, and others). Each provider has its own terms of use and acceptable-use policy, which you agree to follow. We make reasonable efforts to surface provider policies on the Models page.
Model outputs are generated automatically and may be inaccurate, offensive, or misleading. You are responsible for reviewing outputs before relying on them in production, medical, legal, financial, or other high-stakes contexts.
8. Service-level agreement (SLA)

SLA credits are the sole remedy for SLA breaches. SLA excludes scheduled maintenance, force majeure, customer-side issues (DNS, network, expired card), and abuse-caused suspensions. To claim, email sla@plugsky.com within 30 days of the incident.
9. Suspension & termination
9.1 By you
You may close your account at any time from Settings → Account → Delete. Deletion is permanent after a 30-day grace period.
9.2 By us
We may suspend or terminate your access if:
- You materially breach these Terms and fail to cure within 14 days of notice (or immediately for severe violations).
- Your payment fails and is not cured within 7 days.
- We are required to do so by law, court order, or sanctions.
- Continued provision would create a security or liability risk.
For non-payment suspensions, we will provide 7 days' notice and a path to cure.
10. Confidentiality
Each party may receive confidential information from the other. We will protect your confidential information with at least the same care we use to protect our own (and no less than reasonable care), and we will not disclose it to third parties except as permitted in these Terms or required by law.
Our DPA governs the handling of personal data submitted to the service and is incorporated by reference.
11. Warranties & disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLUGSKY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF OUTPUTS.
We do not warrant that the service will be uninterrupted, error-free, or that model outputs will be accurate, complete, or fit for any particular purpose.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $100.
NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Nothing in these Terms excludes or limits liability that cannot be excluded by law (e.g., gross negligence, willful misconduct, death or personal injury, fraud).
13. Indemnification
You will indemnify and hold us harmless from any third-party claim arising out of (a) your content, (b) your violation of these Terms, or (c) your violation of any law.
We will indemnify you against any third-party claim that the service itself (excluding your content and third-party models) infringes the third party's intellectual property rights.
14. Governing law & disputes
These Terms are governed by the laws of the Dubai International Financial Centre (DIFC) and, to the extent not covered by DIFC law, the federal laws of the United Arab Emirates, without regard to conflict-of-law principles.
The parties shall first attempt to resolve any dispute through good-faith negotiation for 30 days. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the DIFC Courts, unless local consumer law provides you with a right to bring proceedings in your country of residence.
Nothing prevents either party from seeking injunctive relief in any competent court to protect its intellectual property or confidential information.
15. Changes to these Terms
We may update these Terms from time to time. Material changes (changes that meaningfully affect your rights or obligations) will be notified by email at least 30 days in advance. Minor changes (typos, clarifications, contact information) do not require notice. The current version and version history are available at /legal/terms/history.
Continued use after the effective date of changes constitutes acceptance. If you do not agree, you may close your account before the changes take effect.
16. Miscellaneous
- Entire agreement. These Terms (including the Privacy Policy and DPA) constitute the entire agreement between you and Plugsky regarding the service.
- No waiver. Failure to enforce any provision is not a waiver of that provision.
- Severability. If any provision is held unenforceable, the remainder remains in effect.
- Assignment. You may not assign these Terms without our written consent. We may assign to a successor in connection with a merger, acquisition, or sale of assets.
- No agency. These Terms do not create a partnership, joint venture, or agency relationship.
- Notices. We will notify you by email to the address on your account. Legal notices to us must be sent to legal@plugsky.com with a copy by registered mail to our postal address.
